This Sensat AI Features Supplement (“AI Supplement”) supplements and forms an integral part of the Sensat Platform Terms (the “Agreement”) between Sensat Digital Limited (“Sensat”) and the Customer (as defined in the Agreement). All capitalised terms not defined herein shall have the meaning given to them in the Agreement.

1. Definitions
AI Feature(s):
The artificial intelligence-powered use of functionalities, algorithms, and models provided by Sensat as part of the Platform, which may be refined or updated over time including, but not limited to, a natural-language visual search engine and a functionality that allows Users to modify or simulate the appearance of a selected part of a project by means of automated rendering.
Effective Date:
The earlier of the date on which the Customer or a User first uses any AI Feature, or the date specified in the relevant Order Form.
Input(s):
Any data, content, prompt, query, image, map, building and design model, text, or other material, including Customer Materials or Customer Confidential Information, submitted or provided by the Customer or its Users for processing by an AI Feature.
Output(s):
The results generated, returned, or rendered by an AI Feature in response to the Inputs, including, but not limited to, search results, flagged points of interest, rendered snapshots, and any derivative visualisations.
Usage Data:
Metadata and aggregated information regarding the utilisation of AI Features (e.g., volume of Inputs, frequency of use, performance metrics).
2. Use of AI Features
2.1 Subject to the terms of the Agreement and this AI Supplement, the Customer and its authorised Users are granted a non-exclusive, non-transferable right to use the AI Features in respect of their projects hosted on the Platform for which they have been enabled, strictly for the Customer’s internal business purposes at all times.
2.2 The AI Features are optional and may be subject to additional fees, usage limits, or separate commercial terms as specified in the applicable Order Form or published pricing schedule. Sensat reserves the right to monitor usage and may, at its sole discretion, impose limits on the volume of Inputs or Outputs (for example, a monthly cap on the number of rendered snapshots per project). Any failure by Sensat to strictly enforce such limits at any given time shall not constitute a permanent waiver of those limits or a waiver of Sensat’s right to enforce them, or charge for usage in excess of them, in the future.
2.3 The Customer acknowledges and accepts that the Outputs are probabilistic, generated by machine learning models, and are not guaranteed to be accurate, complete, current, error-free, or fit for any specific purpose. The use of AI Features is entirely at the Customer's sole risk. The Customer understands that Outputs should be treated as illustrative suggestions or preliminary findings only and must be subject to independent human review and verification before being relied upon in any business-critical, safety-critical, regulatory, engineering, or planning context.
3. Availability and Modification
3.1 Sensat does not warrant or guarantee the uninterrupted, continuous, or fault-free availability of any AI Feature.
3.2 Sensat reserves the right, at its sole discretion, to modify, update, refine, replace, introduce, suspend, or deprecate any AI Feature, model, algorithm, or rendering technique. Sensat shall use commercially reasonable efforts to communicate any material changes that substantially impact the Customer's use of a core AI Feature.
3.3 The Customer acknowledges that certain AI Features rely on underlying services, AI models, and infrastructure provided by third parties, including, but not limited to, Google Cloud Platform (GCP). The Customer agrees to comply with all applicable third-party terms, conditions, acceptable use policies, and guidelines, including, but not limited to, those of Google AI/GCP, in connection with its use of the AI Features. Sensat is not responsible or liable for the acts, omissions, or terms of any such third-party provider.
4. Customer Responsibilities
4.1 The Customer bears sole responsibility for the accuracy, legality, completeness, quality, and suitability of all Inputs, as well as for the review, validation, interpretation, and appropriate use or non-use of all Outputs.
4.2 The Customer must ensure that its use of the AI Features strictly complies with the Agreement, its internal policies, all applicable laws and regulations (including, but not limited to, data protection, export control, and intellectual property laws), and the Acceptable Use Terms.
4.3 The Customer shall not, and shall ensure that its Users do not:
- use any Output, AI Feature, or the underlying technology to train, evaluate, or develop any AI model or similar technology outside of the Platform;
- represent or suggest that Outputs are approved, endorsed, verified, or guaranteed by Sensat in any way;
- pass off or represent Outputs as wholly human-generated if they have been assisted or created by an AI Feature;
- use AI Features for any unlawful, fraudulent, misleading, discriminatory, harmful, or unsafe purpose;
- attempt to reverse engineer, decompile, or otherwise discover the source code or underlying structure of the AI Features, or attempt to bypass any safety, usage, or control mechanisms; and/or
- use the AI Features to make, or inform, automated decisions that produce legal or similarly significant effects on any person or entity without adequate human review and oversight.
5. Intellectual Property and Outputs
5.1 As between the parties, the Customer retains all Intellectual Property Rights in the Inputs.
5.2 Sensat hereby grants the Customer a non-exclusive, worldwide, royalty-free, perpetual (or for the term set out in the applicable Order Form, if shorter) licence to use, copy, and modify the Outputs for its internal business purposes only, subject to the terms of this AI Supplement.
5.3 Sensat at all times retains all Intellectual Property Rights in and to the AI Features, the underlying models, algorithms, methodologies, enhancements, and the Platform itself.
5.4 The Customer acknowledges that Outputs may be similar or identical to outputs generated for other customers or users of the Platform. Sensat does not warrant or guarantee the uniqueness or originality of any Output.
5.5 Outputs are generated by machine learning models and may contain elements or styles that are similar to or derived from third-party content. Sensat expressly disclaims any warranty or representation that the Outputs, or the Customer's use of them, will not infringe or misappropriate any third-party intellectual property rights. The Customer is solely responsible for assessing and addressing any such risks before relying on or distributing the Outputs externally.
6. Data Use and Model Training
6.1 Sensat may collect and use Usage Data to monitor, analyse, maintain, and improve the AI Features, the Platform, and Sensat's other products and services.
6.2 Subject to the terms of the Agreement and the Data Processing Schedule:
- the Customer grants Sensat a non-exclusive, worldwide, royalty-free licence to use the Inputs and Outputs to provide, support, and technically enhance the AI Features and the Platform; and
- Inputs and Outputs will not be used to train publicly available models. Unless expressly agreed otherwise in writing, Sensat will only use Inputs and Outputs to train or fine-tune models in a manner that is aggregated or sufficiently de-identified such that they do not identify the Customer as the source, and will not use Inputs and Outputs outside of customer projects hosted on the Platform.
7. Disclaimer of Warranties and Limitation of Liability
7.1 The AI Features and the Outputs are provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, representations, or conditions of any kind.
7.2 To the fullest extent permitted by law, Sensat expressly disclaims all implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and the absence of errors or harmful components in the AI Features or Outputs.
7.3 Sensat shall not be liable for any loss, damage, or expense arising directly or indirectly from the Customer’s or any third party’s reliance on, or use of, the Outputs, including any indirect, incidental, consequential, special, or exemplary damages, or for loss of data, profits, or business opportunity, other than for any matter for which it would be unlawful for Sensat to limit or exclude its liability.
7.4 Notwithstanding any provision to the contrary in the Agreement, the total aggregate liability of Sensat in respect of the AI Features, the Outputs, or this AI Supplement shall not exceed the amount set out in clause 7.2 of the Agreement.
8. Regulatory and Ethical Considerations
8.1 The Customer acknowledges that Outputs, being machine-generated, may inadvertently reflect bias, blind spots, or inaccuracies in the underlying training data or models. Sensat provides no guarantee of fairness or absence of discrimination in the Outputs.
8.2 Outputs depicting infrastructure, planning scenarios, or environmental conditions are strictly illustrative and hypothetical and are not to be construed as certified engineering deliverables, professional advice, or regulatory approvals unless confirmed otherwise by a separate, specific written agreement executed by both parties.
8.3 The Customer shall indemnify and hold harmless Sensat against all claims, liabilities, costs, and expenses arising from any third-party claim alleging that the Customer's unverified reliance on or misuse of the Outputs (whether for regulatory submission, planning application, safety assessment, or otherwise) has caused loss or damage.
9. Term, Termination, and Survival
9.1 The term of this AI Supplement shall commence on the Effective Date and shall continue co-terminously with the relevant Contract term (as may be set out in the Order Form).
9.2 Upon termination or expiry of the Contract or the right to use the AI Features, the Customer’s access to the AI Features shall immediately cease. Sensat may delete or archive Inputs and Outputs in accordance with the data retention and destruction provisions of the Agreement.
9.3 Clauses 4, 5, 6, 7, 8 and 10 shall survive any termination or expiry of this AI Supplement.
10. Order of Precedence
In the event of a direct conflict between the provisions of the Agreement and this AI Supplement, this AI Supplement shall prevail but only with respect to the AI Features.
11. Acceptance
The Customer's (or any of the Customer’s User’s) commencement of use of any AI Feature shall constitute the Customer’s unconditional acceptance of and agreement to the terms of this AI Supplement.
